All Services are provided on an "as is" and "as available" basis. We use reasonable skill and care but do not guarantee that deliverables will be error-free, uninterrupted, or meet all your requirements.
Services may incorporate or rely on third-party components, such as AI models (e.g., from OpenAI or similar providers), APIs, libraries, hosting services, or vendor tools. We are not responsible for the performance, availability, accuracy, or behavior of these third-party elements. Any issues caused by third-party failures, changes, or unpredictability (including AI-generated outputs) are not our liability.
You are responsible for providing accurate requirements, timely feedback, access to your systems/data, and backing up your data. We are not liable for losses due to your data, configurations, or third-party interactions with your systems.
Content on the Site (articles, guides, etc.) is owned by us and protected by copyright and other laws. You may not reproduce or distribute it without our written permission.
For custom Services:
All Services are provided on a prepaid retainer basis. Payment is required in full upfront before any work begins.
All payments are non-refundable. There are no refunds, partial refunds, credits, or transfers for any reason, including if you choose not to proceed with the project, change your requirements, or are dissatisfied with the work.
Physical products (if any) may be replaced if damaged on arrival and reported within 30 days.
Overview
Our Affiliate Program allows eligible individuals or entities ("Affiliates") to earn commissions by referring new clients to our Services, which include computer consulting, custom software development, and AI integrations. All Services are provided on a prepaid retainer basis with no hardware sales or resales. Affiliates earn a flat 20% commission on billable hours and prepaid packages (excluding any hard costs) for the referred client for the lifetime of that client's relationship with us.
Sign-Up and Onboarding
To participate, you must create and maintain an active Affiliate account before any referral. Activation requires completing our onboarding process, including identity verification via a one-dollar ($1.00 USD) authorization charge on a valid credit/debit card (refunded promptly upon success). No commissions will be paid for referrals made before your account is fully active. Retroactive claims are not permitted.
Referral Registration
To qualify for commissions, you must register leads with us before the client signs up or exists in our system. Register leads via the contact form on our website at https://arsenalwebsystems.com/contact, providing lead details and marking it as an affiliate referral. Late registrations will not be accepted. Referrals must arise from a genuine prior business relationship, which you may need to prove. Automated submissions, bots, spam, or mass uploads are prohibited and may result in account termination and forfeiture of commissions.
Eligibility and Restrictions
Commissions are payable only on referrals to distinct legal entities unrelated to you. You are ineligible for commissions on:
Commissions apply only to the specific registered entity—no spillover to affiliates.
We may deny or revoke commissions (and claw back paid amounts) for fraud, self-referral, spam, or violations of these terms.
Commission Payments
Commissions are calculated on client retainer payments but disbursed only after the client purchases a subsequent retainer (confirming satisfaction). Payments are made within 30 days of the subsequent purchase. Commissions continue for the lifetime of the referred client's relationship, even if your Affiliate account is later terminated (unless termination was for fraud or violation).
Affiliates are solely responsible for all taxes and reporting on commissions received. We withhold taxes only if required by law.
Confidentiality and Termination
Affiliates must keep confidential any client information, rates, or proprietary details accessed through the program. Breach may result in immediate termination.
We may terminate Affiliate accounts at any time. Termination for cause (e.g., fraud, spam) forfeits all future commissions. Otherwise, lifetime commissions on existing referrals continue.
Our primary method of communication and organization is Slack. Each client receives up to one guest Slack account in our Arsenal Slack Workspace at no additional cost. Alternatively, clients may connect their own paid Slack workspace to ours via Slack Connect (at client's expense).
Client agrees to use Slack as the primary method of communication and organization. Furthermore, client acknowledges that Arsenal Web Systems will NOT be asked to import or export any data into or out of the Arsenal Slack Workspace and will NOT be asked to communicate outside of the Arsenal Slack Workspace.

The information and Content presented by us is not influenced by or paid for by any advertiser. We maintain this policy to preserve our integrity. We do, however, earn commissions from outbound affiliate links, including (but not limited to) links to our own products and software.
We do not sell, share, rent, or otherwise disclose without a court order any customer information. In certain cases, customer information is made available to our vendors and/or providers to facilitate such things as, but not limited to, fulfillment of customer orders, running our website, processing payments, and our business analytics.
To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Site, Content, or Services—even if advised of the possibility.
Our total liability is limited to amounts paid by you in the prior 12 months. Some jurisdictions limit these exclusions, so they may not fully apply to you.

We may update these Terms at any time. Continued use of the Site or Services means you accept the changes.
We may suspend or terminate your access or any ongoing Services for any reason, including violation of these Terms or non-payment. Upon termination, no refunds will be issued for prepaid amounts.
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes shall be resolved in courts located in Dallas County, Texas.
If any provision is invalid, the remainder remains in effect.
